1. Agreement and product scope

These Terms govern use of standalone Hey Hermes and Fin Hermes. By creating an account, using a service, or purchasing a subscription, the user agrees to these Terms and the Privacy Policy. If the user does not agree, the user must not use the service.

These Terms supplement the Apple Standard End User License Agreement for an iPhone app. Apple controls the App Store and App Store transaction. HODL Media controls the Hermes Product service, product account and product-local data.

Hey Hermes and Fin Hermes are separate services. An account, subscription, entitlement, runtime, workspace, history, portfolio, or provider connection in one product does not grant authority in the other product, even if an email address matches.

2. Eligibility and accounts

The user must be at least 16. A user under the local age of majority represents that a parent or legal guardian has consented where local law requires it. No person under 16 may use the service.

The user must provide accurate information, protect account and device access, and notify the product support contact of suspected unauthorized use. The user may not share authority over another person's account or attempt to use a foreign product identity, entitlement or data.

3. Service and AI limitations

Hermes Products use software, AI models, tools and third-party services to perform requested work. Outputs may be incomplete, outdated, unavailable or wrong. The user must review output and any proposed consequential action. HODL Media does not promise uninterrupted service, a specific model, a specific third-party provider, or that every request will be completed.

The user remains responsible for instructions, content, decisions and actions taken using the service. A connected provider is also governed by its own terms. The user must have the rights and authority required to provide content and connect an account.

4. User content and permitted use

The user retains rights in content the user provides. The user grants HODL Media a limited, non-exclusive license to host, process, transmit, reproduce and display that content only as needed to provide, secure and support the selected Hermes Product. This license ends when the content is deleted, subject to the retention rules in the Privacy Policy.

The user may not use the service to break the law, violate another person's rights, distribute malware, evade security or product boundaries, obtain unauthorized access, interfere with the service, or create unreasonable abuse or risk. We may suspend or restrict use when reasonably necessary to protect users, providers, the service, or legal obligations.

5. Standalone Hey Hermes schedule

Hey Hermes provides a managed product account and private Hermes runtime, product interfaces, included or user-connected AI Access, and the available managed features and Connections. Availability depends on the released app, the user's plan, provider readiness and service capacity.

6. Fin Hermes schedule

Fin Hermes provides software, market and portfolio context, research tools, source-backed results, and an AI assistant. It provides information and tools, not investment, legal, tax or accounting advice. It is not a broker, investment adviser, fiduciary or discretionary asset manager. Market data, research, forecasts and sources may be delayed, incomplete or wrong.

The user makes every investment decision and must review every proposed action. Fin Hermes does not buy, sell, trade, transfer money, or take another consequential financial action without the user's explicit authorization and the available product confirmation flow. No output guarantees performance or results.

7. Trials, renewal, cancellation, refunds, and Restore Purchases

The subscription includes the released service described in the app and current product copy. Usage allowances and provider availability may be bounded. We do not charge automatically for overages or silently change plans.

Hey may separately provide a time-limited complimentary entitlement. It asks for no payment, does not convert into a purchase, and cannot charge the user. If a user independently starts an Apple trial or paid subscription while a grant is active, the valid entitlements may overlap; time is not stacked. Fin Pilot access is separate internal testing access, not a promised public trial or cross-product entitlement.

8. Changes, suspension, and termination

We may update, replace or discontinue features or providers, subject to law and active subscription obligations. We may suspend or terminate access for a material breach, security risk, unlawful use, provider requirement, or risk to other users. Where practical and lawful, we will give notice and an opportunity to export product data.

The user may stop using the service, cancel the subscription through Apple, and request product-local account deletion through the authenticated journey. Deletion timing and lawful residual retention are described in the Privacy Policy.

9. Intellectual property and feedback

The Hermes Products, excluding user content and third-party materials, are owned by HODL Media or its licensors and protected by intellectual-property law. These Terms grant only a personal, limited, revocable, non-transferable right to use the released service. Feedback may be used without restriction or payment, but we do not acquire ownership of the user's confidential content merely because feedback is provided.

10. Disclaimers and liability

To the maximum extent permitted by law, the service is provided "as is" and "as available" without implied warranties. HODL Media is not liable for indirect, incidental, special, consequential, exemplary or punitive damages, lost profits, lost opportunity, or losses caused by decisions made from AI, market, research or third-party output.

To the maximum extent permitted by law, HODL Media's aggregate liability arising from the affected Hermes Product is limited to the amount the user paid for that product during the 12 months before the event giving rise to the claim. Nothing in these Terms excludes liability or a remedy that cannot lawfully be excluded or limited, including mandatory consumer rights.

11. Governing law, forum, and savings clause

These Terms are governed by the laws of Delaware, USA, without regard to conflict-of-law rules. Subject to the savings clause below, state and federal courts located in Delaware have exclusive jurisdiction.

Savings clause. If the user is a consumer, these Terms do not deprive the user of mandatory protections under the law of the user's country of residence or a mandatory forum available there. Any disclaimer, limitation, governing- law choice, or forum choice applies only to the extent permitted by those mandatory rules.

12. General terms and contact

If part of these Terms is unenforceable, the remaining terms continue and the unenforceable part is applied as closely as law permits. A delay in enforcing a term is not a waiver. The user may not assign these Terms without consent; HODL Media may assign them as part of a merger, reorganization, financing or sale of the relevant business, subject to law. These Terms, the Privacy Policy, the applicable Apple terms and any product-specific purchase disclosure are the agreement for the selected service.
